In a statement released today, Retail Decisions PLC confirmed it is seeking to buy an unnamed company “whose key activities are complementary to those of ReD.” In confirming what it called a “market rumor” about a pending transaction, the U.K.-based transaction processor and Internet payments gateway, which operates a U.S. concern based in Hazlet, N.J., said its discussions “may or may not” result in a deal. The company says it is in the final stages of working out details, including how it will finance the acquisition. Funding, it says, will likely come from an issuance of stock to new and existing investors. ReD's U.S. arm, Retail Decisions USA Inc., provides transaction-gateway and fraud-control services for a variety of e-commerce merchants and telecom providers, including Wal-Mart Stores Inc., Travelocity , RealNetworks, and Netflix. It competes with CyberSource Corp., which last week announced it is seeking to buy the assets of beleaguered processor CardSystems Inc., and ClearCommerce Corp., now part of eFunds Corp.'s retail solutions group as the result of an acquisition earlier this year.
